Change in a Director's Shareholding

Uranium Resources plc announces that Hugh Warner, an executive Director of the Company has increased his shareholding in the Company from 9,280,000 ordinary shares representing approx 4.4% to 19,706,666 ordinary shares representing approx 9.34%.
The Company was notified on 16 June 2006, in respect of a transfer of 5,426,666 ordinary shares to Hugh Warner from Ascent Capital Pty Ltd, a company in which Hugh Warner was previously a director and 1/3 shareholder as part consideration for purchase of Hugh Warner's equity interest in Ascent Capital Pty Ltd; and on 21 June 2006, in respect of an on-market purchase of 5,000,000 shares at a price of 1.5p per share.
Hugh Warner's holding in the Company is therefore comprised by 5,426,666 ordinary shares held by him directly and 14,280,000 held by the Elliot Holdings Pty Ltd in which he has a beneficial interest.
